1. Introduction

Welcome to tentoten.co. These Terms and Conditions (“Terms”) govern your access to and use of our website development and hosting services. By using our services, you agree to be bound by these Terms. Our services are provided to businesses and individuals based in the United Kingdom and are governed by the laws of England and Wales.

2. Services Provided

2.1. tentoten.co provides professional website design and development services for a 3-page website (typically Home, Services, and Contact) at no initial cost for the build. 2.2. Managed hosting and maintenance services are provided as a mandatory part of this offer to ensure site security, performance, and stability.

3. Fees and Payments

3.1. Hosting Fee: A mandatory managed hosting and maintenance fee of £20.00 per month is required for all websites built under this initiative. 3.2. 14-Day Build Window: Payment details are collected at the start of the project via Stripe. However, no payment will be processed for the first fourteen (14) days. This allows for the design, build, and approval process. 3.3. Billing: Following the 14-day window, the hosting fee is billed monthly in advance. 3.4. Chargebacks: You agree to contact us in good faith before initiating any payment dispute or chargeback with your bank. A chargeback initiated without prior notice shall constitute a material breach of this Agreement, resulting in immediate suspension of services and revocation of all licenses.

4. Website Development & Service Impact

4.1. You agree to provide all necessary assets (logo, branding, text, and images) within the timeframe specified in your onboarding documents. 4.2. Service Impact Disclaimer: You acknowledge that the development process—including domain updates, DNS changes, and hosting migrations—may result in temporary service disruption. This includes, but is not limited to, website outages, domain propagation delays, or temporary email delivery failures. We are not liable for any business losses or reputational harm resulting from such necessary technical transitions. 4.3. While we strive for perfection, we are not responsible for typos or errors in the content provided by you.

5. Ownership and Intellectual Property

5.1. The 12-Month Rule: To protect our investment in your free build, ownership of the website files, design, and structure remains with tentoten.co for the first twelve (12) consecutive months of your paid hosting membership. 5.2. Transfer of Ownership: Full ownership of the website assets is only eligible for transfer to the Client after the completion of twelve (12) months of active, paid service. 5.3. Divi License Requirement: Because our websites are built using the Divi framework, should you choose to cancel and migrate the site to another host after the 12-month period, you must purchase your own independent Divi subscription through our specified affiliate link (see Section 15). This is required to ensure your website continues to receive security updates and remains functional on an external server. 5.4. Business Model Protection: You agree not to replicate, reverse-engineer, or otherwise attempt to copy the Company’s business model or internal workflows in a way that constitutes unfair competition.

6. Marketing and Portfolio License

6.1. You grant tentoten.co a non-exclusive, royalty-free, perpetual license to use your business name, website screenshots, and testimonials in our portfolio, marketing materials, and social media communications. 6.2. If you prefer not to be featured, you may request removal by writing to [email protected], and we will honor such requests within thirty (30) days.

7. Confidentiality

7.1. During our engagement, you may gain access to non-public information regarding our internal systems, pricing structures, or automation workflows (“Confidential Information”). 7.2. You agree not to disclose or use this Confidential Information for any purpose other than engaging with our services. This obligation survives the termination of this Agreement.

8. Cancellation and Termination

8.1. You may cancel your hosting plan at any time. 8.2. Cancellation Within 12 Months: If you cancel before completing 12 months of service, your website will be taken offline, and you will not be entitled to the website files, database, or design assets. Associated data will be deleted from our servers after 30 days. 8.3. Cancellation After 12 Months: If you cancel after the 12-month mark, you may request a migration of the site. We will assist with the transfer of files provided the requirements in Section 5.3 are met.

9. Prohibited Uses

You agree not to use the website or our services for any unlawful purpose, to transmit malware, to impersonate others, or to harass our staff. We reserve the right to terminate services immediately for any such violation without refund.

10. Limitation of Liability

10.1. We provide services on an “as is” basis. We do not guarantee that the website will be error-free or that third-party plugins will remain compatible indefinitely. 10.2. To the maximum extent permitted by law, we are not liable for loss of profits, revenue, data, or business opportunities. 10.3. Our total cumulative liability for any claim related to this Agreement shall not exceed the amount paid by you in the twelve (12) months prior to the claim.

11. Data Protection

11.1. We comply with the Data Protection Act 2018 and the UK GDPR as outlined in our Privacy Policy. 11.2. Any personal data collected is handled securely and only used for the purposes of fulfilling our services.

12. Non-Solicitation

During the term of this Agreement and for twelve (12) months thereafter, you shall not solicit or hire any employee or contractor of tentoten.co without our prior written consent.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon being updated in the Client Dashboard or on our main website. Continued use of the services constitutes your acceptance of the revised Terms.

14. Affiliate Disclosure

14.1. In accordance with consumer protection guidelines, please be advised that tentoten.co may use affiliate links for third-party services including, but not limited to, domain registration and software themes. 14.2. An affiliate link means that we may receive a small commission or referral fee if you purchase a service through that link. This commission is paid by the third-party provider and comes at no additional cost to you. 14.3. These commissions help us offset the costs of providing professional website development services at no initial charge to our clients.
